These Terms of Service (“Terms”) govern your access to and use of the website located at www.pulseandremedy.com (the “Site”), owned and operated by Pulse & Remedy, LLC, a Florida limited liability company (“P&R,” “we,” “us,” or “our”), with its principal place of business at 925 Arthur Godfrey Road, Suite 300, Miami Beach, Florida 33140.

BY ACCESSING, BROWSING, OR USING THIS SITE IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THIS SITE.

These Terms apply to all visitors, users, and others who access or use the Site. Use of the Site is conditioned on acceptance of these Terms.

Your access to or use of this Site — including reading Content, submitting a contact or inquiry form, signing up for a newsletter, or any other interaction with this Site — does NOT establish a physician-patient relationship, a provider-patient relationship, or any other healthcare or professional relationship between you and P&R, Dr. Jarred Mait, M.D., or any other healthcare professional affiliated with P&R. A physician-patient relationship is established ONLY upon the completion of a formal in-person or telemedicine clinical consultation, execution of a signed membership agreement, and mutual agreement to enter into a treatment relationship.

2.3 Not a Substitute for Professional Medical Care. The Content on this Site is NOT a substitute for professional medical advice, diagnosis, or treatment from a licensed healthcare provider who knows your individual health history. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. 2.4 No Consultations Via This Website. Pulse & Remedy, LLC does not provide, and this Site is not designed or intended to provide, medical consultations, clinical evaluations, diagnoses, or treatment recommendations through any feature of this website, including but not limited to contact forms, inquiry forms, live chat tools, email links, comment sections, or social media integrations. Any message you submit through this Site will be treated as a general inquiry and will not be evaluated as a clinical communication. Do not submit symptoms, health conditions, or requests for medical guidance through this Site.

2.5 Treatment-Specific Disclosure. Pulse & Remedy, LLC is a concierge direct primary care medical practice that offers a range of clinical treatments and services to enrolled members, which may include, but are not limited to: hormone replacement therapy (HRT); testosterone, estrogen, and progesterone therapy; peptide therapy; IV infusion therapy; weight management programs; anti-aging and longevity medicine; prescription medications; compounded medications; supplements; and other individualized medical treatments. The description of any such treatment or program on this Site is for general informational purposes only. The appropriateness of any treatment for any individual patient is determined solely through an in-person clinical evaluation by a licensed healthcare provider and is subject to signed informed consent. Not all treatments are appropriate for all individuals.

2.6 Peptide and Compounded Medication Disclosure. Some treatments described on this Site — including certain peptide therapies — involve compounded medications that are not individually approved by the U.S. Food and Drug Administration (FDA) and may constitute off-label use of pharmaceutical agents. The regulatory landscape for compounded and peptide medications is subject to ongoing change. Descriptions of such treatments on this Site do not constitute a representation that any specific treatment is FDA-approved, universally safe, or appropriate for any individual.

2.7 Results Not Typical; No Guarantee. Results described are not necessarily typical or expected for any individual patient.

3. Emergency Services — Critical Notice

P&R does not monitor this Site or its contact channels on a 24-hour basis and cannot guarantee a timely response to any submission. In any situation that you believe may constitute or develop into a medical emergency, contact emergency services immediately.

4. Eligibility; Age Restriction
This Site is intended for use by adults who are at least 18 years of age and are residents of the United States. By accessing this Site, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into binding agreements; and (c) your use of this Site complies with all applicable federal, state, and local laws.

P&R does not knowingly collect personal information from individuals under the age of 13. If you are under 13, do not use this Site or submit any personal information. If P&R becomes aware that it has inadvertently collected personal information from a child under 13 without verifiable parental consent, it will take steps to delete such information in compliance with the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq.

5. Site Use; Modifications; Availability
5.1 License to Use. Subject to these Terms, P&R grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial, informational use only.

5.2 Modifications to Terms. P&R reserves the right to amend these Terms at any time. Amended Terms will be posted on this Site with an updated effective date. Your continued use of the Site after the posting of amended Terms constitutes your acceptance of the amended Terms. P&R recommends you review these Terms periodically.

5.3 Site Availability. P&R reserves the right to modify, suspend, or discontinue the Site or any portion thereof at any time with or without notice. P&R shall have no liability for any modification, suspension, or discontinuation of the Site.

6. Privacy; Health Information; HIPAA
6.1 Privacy Policy. Your use of this Site is also governed by P&R’s Privacy Policy, available at www.pulseandremedy.com/privacy, which is incorporated into these Terms by reference.

6.2 Health Information Submitted Through This Site. If you voluntarily submit any health-related information through this Site — including through contact forms, inquiry forms, intake questionnaires, or newsletter signup fields — you acknowledge and agree that: (a) such submission does not create a clinical relationship or obligate P&R to provide medical care; (b) such information will be handled in accordance with P&R’s Privacy Policy and, where applicable, in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and the HITECH Act; and (c) you are not required to submit health information to access publicly available Content on this Site.

6.3 No Secure Medical Communications via Website. This Site is not a HIPAA-secure communication platform. Do not transmit protected health information (PHI) — including diagnoses, medications, lab results, or detailed symptom descriptions — through any general contact form or inquiry submission on this Site. Enrolled patients of P&R should communicate PHI exclusively through P&R’s designated secure communication channels as directed by their Provider.

7. Prohibited Conduct
As a condition of your use of this Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation
• Submit false, misleading, or fraudulent information through any form or communication channel on the Site
• Impersonate any person or entity, or misrepresent your identity or affiliation
• Submit or transmit any content that is defamatory, obscene, harassing, threatening, infringing, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Site, its servers, or related systems
• Use any automated tools, scrapers, bots, or data-harvesting technology to access, collect, or copy any Content from the Site
• Introduce any virus, malware, or other harmful code to the Site
• Use the Site to solicit patients, referrals, or business in competition with P&R
• Use or display any Content from this Site for commercial purposes without P&R’s prior written consent
• Interfere with or disrupt the normal operation of the Site or the experience of other users

P&R reserves the right, in its sole discretion, to suspend or permanently terminate your access to the Site for any violation of these Terms or for any use that P&R deems harmful to the Site, its users, or P&R’s interests.

8. Intellectual Property; Copyright
8.1 Ownership. All Content on this Site — including but not limited to the Site’s design, layout, graphics, text, photographs, images, audio, video, software, and other materials — is the exclusive property of Pulse & Remedy, LLC or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. 8.2 Limited License. P&R grants you a limited, personal, non-commercial license to view and download Content solely for your personal informational use, provided you retain all copyright and proprietary notices. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publish, transmit, or commercially exploit any Content without P&R’s prior written authorization.

8.3 Trademarks. The name “Pulse & Remedy,” the Pulse & Remedy logo, and all related marks, trade names, and trade dress are trademarks or service marks of Pulse & Remedy, LLC. Nothing on this Site grants any license to use any P&R trademark without prior written authorization.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FLORIDA LAW, IN NO EVENT SHALL P&R, ITS MEMBERS, OFFICERS, EMPLOYEES, PROVIDERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THIS SITE OR ANY CONTENT HEREON, EVEN IF P&R HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, P&R’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

12.3 Medical Malpractice Carve-Out. NOTHING IN THESE TERMS SHALL BE CONSTRUED TO LIMIT OR DISCLAIM LIABILITY FOR MEDICAL MALPRACTICE, PROFESSIONAL NEGLIGENCE, OR GROSS NEGLIGENCE IN THE PROVISION OF CLINICAL MEDICAL SERVICES BY P&R’S LICENSED HEALTHCARE PROVIDERS, TO THE EXTENT SUCH LIABILITY CANNOT BE WAIVED UNDER § 766.103, FLORIDA STATUTES, OR APPLICABLE PROFESSIONAL STANDARDS. THIS LIMITATION OF LIABILITY APPLIES SOLELY TO WEBSITE USE AND DOES NOT GOVERN THE PROVISION OF MEDICAL SERVICES, WHICH ARE ADDRESSED IN SEPARATE PATIENT AGREEMENTS.

12.4 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, P&R’s liability shall be limited to the fullest extent permitted by applicable law.

13. Indemnification
You agree to indemnify, defend, and hold harmless Pulse & Remedy, LLC, its members, officers, directors, employees, providers, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of this Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any User Content you submit to this Site; (e) your infringement of any third party’s intellectual property or other rights; or (f) any dispute between you and any third party in connection with this Site. P&R reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with P&R’s defense of such claims.

14. Waiver of Jury Trial
BY USING THIS SITE, YOU AND P&R EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS SITE. Any legal action or proceeding arising out of or relating to these Terms or your use of this Site shall be brought exclusively in the state or federal courts of competent jurisdiction located in Miami-Dade County, Florida. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

16. Dispute Resolution
Before initiating any formal legal proceeding, you agree to first notify P&R in writing of any dispute arising from these Terms or your use of this Site, and to attempt in good faith to resolve the dispute through direct negotiation for a period of thirty (30) days from the date of written notice. If the dispute is not resolved through negotiation, either party may initiate formal legal proceedings in the courts specified in Section 15.

19. General Provisions
19.1 Entire Agreement. These Terms, together with P&R’s Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and P&R with respect to your use of this Site and supersede all prior understandings, communications, and agreements on that subject.

19.2 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

19.3 No Waiver. P&R’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or P&R’s right to enforce it in the future.

19.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without P&R’s prior written consent. P&R may freely assign these Terms without restriction.

19.5 Headings. Section headings in these Terms are for convenience only and shall not affect their interpretation.

19.6 Electronic Agreement. You acknowledge that these Terms are an electronic contract and that your electronic acceptance (by accessing or using the Site) has the same legal effect as a written, signed agreement.

ATTESTATION OF ADOPTION
The revised Terms of Service above have been reviewed, approved, and adopted by the authorized representative of Pulse & Remedy, LLC on the date set forth below. These Terms supersede and replace all prior versions of the website Terms of Use.
